1. Definitions
“Company” means ACCESS I.T. LIMITED.
“Customer” means the business entity purchasing Goods or Services from the Company.
“Goods” means products, hardware, software, accessories, spare parts, consumables or equipment supplied by the Company.
“Services” means configuration, installation, support, repair, warranty, Care+ services or consultancy provided by the Company.
“Care+” means the Company’s optional enhanced support and warranty programme.
“Agreement” means these Terms & Conditions together with any quotation, order acknowledgement, invoice or agreed purchase order.
2. Basis of Sale
These Terms & Conditions apply to all quotations, orders, sales and supplies made by the Company.
No other terms proposed by the Customer shall apply unless expressly agreed in writing by the Company.
All quotations are subject to availability and manufacturer confirmation.
The Company acts as a UK supplier and distributor and not the original manufacturer of the products supplied unless expressly stated otherwise.
3. Orders and Acceptance
Orders are subject to acceptance by the Company.
The Company reserves the right to reject or cancel orders.
Any product specifications, lead times or availability are estimates only unless confirmed in writing.
Orders for customised, configured or special-order products may not be cancelled once accepted.
4. Pricing and Payment
All prices are quoted in GBP unless otherwise agreed.
Prices exclude VAT, delivery charges, customs duties and taxes unless otherwise stated.
Payment terms are pro forma unless a credit account has been approved in writing.
Late payments may incur interest under the Late Payment of Commercial Debts (Interest) Act 1998.
The Company reserves the right to suspend deliveries or revoke credit facilities for overdue accounts.
5. Delivery
Delivery dates are estimates only.
The Company shall use reasonable commercial endeavours to meet agreed delivery dates.
The Company shall not be liable for delays caused by manufacturers, freight providers, customs clearance, stock shortages or events beyond its reasonable control.
Risk in the Goods passes to the Customer upon delivery.
6. Retention of Title
Title to the Goods shall remain with the Company until payment has been received in full.
Until title passes, the Customer shall store Goods separately and maintain them in satisfactory condition.
The Company reserves the right to recover unpaid Goods where payment remains outstanding.
7. Inspection and Acceptance
The Customer shall inspect the Goods upon delivery.
Any shortages, damage or discrepancies must be reported in writing within three (3) working days.
Goods shall be deemed accepted if no written objection is received within this period.
8. Warranty
Unless otherwise agreed in writing, iData products are supplied with a standard twelve (12) month manufacturer warranty.
The Company may facilitate warranty support through authorised UK repair and service partners.
Warranty coverage excludes accidental damage, misuse, unauthorised modifications, improper charging, environmental damage, software corruption, consumable wear and tear or customer negligence.
Warranty remedies are limited to repair, replacement or refund at the Company’s discretion.
9. iData Care+
Care+ is an optional enhanced support and warranty programme available for selected products.
Care+ coverage only applies where specifically purchased and referenced on the quotation, invoice or order acknowledgement.
Care+ services may include extended warranty periods, accidental damage cover, enhanced turnaround times or advance replacement services.
Care+ services remain subject to fair usage and the applicable Care+ programme terms.
10. Returns and RMAs
No Goods may be returned without prior RMA approval.
Returns may be subject to testing, restocking charges or manufacturer approval.
Special-order or configured products are non-returnable unless faulty.
Dead-on-arrival or faulty Goods shall be handled in accordance with the Company’s RMA procedures.
11. Software and Compatibility
The Customer is responsible for ensuring compatibility with its own systems, software, ERP, WMS or third-party applications.
The Company does not guarantee uninterrupted or error-free operation of third-party software or integrations.
Any software supplied may be subject to separate licence agreements from the manufacturer or software provider.
12. Limitation of Liability
The Company’s total liability arising under or in connection with any Agreement shall not exceed the value of the relevant purchase order.
The Company shall not be liable for indirect or consequential losses including loss of profit, revenue, business, goodwill, operational downtime, warehouse disruption, data loss or loss of anticipated savings.
Nothing in these Terms excludes liability that cannot legally be excluded under English law.
13. Intellectual Property
All trademarks, product names, software rights and intellectual property remain the property of their respective owners.
The Customer shall not copy, modify, reverse engineer or remove branding from supplied products unless authorised.
14. Reseller and Channel Sales
The Company may supply Goods through distributors, resellers and channel partners.
Unless otherwise agreed in writing, the Company shall have no direct contractual relationship with the end-user where products are supplied through an authorised reseller or distributor.
The Company does not guarantee resale pricing, margins or market exclusivity to resellers unless separately agreed in writing.
15. Force Majeure
The Company shall not be liable for delays or failures caused by events outside its reasonable control including strikes, pandemics, freight disruption, governmental action, customs delays, supplier shortages or natural disasters.
16. Confidentiality
Both parties shall keep confidential any non-public technical, pricing or commercial information disclosed during the business relationship.
17. Compliance
The Customer shall comply with all applicable export control, anti-bribery and sanctions laws.
The Customer shall not export or resell Goods in breach of applicable laws or manufacturer restrictions.
18. Governing Law
These Terms & Conditions shall be governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction
